These Wholesale Program Terms (“Wholesale Terms”) govern the sale of Sage Mahjong products by Kovex LLC (referred to as “Sage Mahjong,” “we,” “our,” or “us”) to approved retail businesses (“Retailer,” “you,” or “your”) through our Wholesale Program. By submitting a wholesale application, placing a wholesale order, or accepting a wholesale shipment, you agree to be bound by these Wholesale Terms in addition to our general Terms of Service.
Sage Mahjong is a brand operated by Kovex LLC, a Limited Liability Company registered in the State of Wyoming. All wholesale sales are made directly by Kovex LLC.
1. Eligibility
The Wholesale Program is open to legitimate brick-and-mortar and online retail businesses whose offering is consistent with the Sage Mahjong brand and customer base. To be eligible, a Retailer must:
- be a legally registered business with a valid business license (or equivalent) in its jurisdiction;
- maintain an active retail location, online storefront, or established sales channel where Sage Mahjong products will be sold to end consumers;
- provide a valid resale or sales-tax certificate where required by applicable law;
- complete and submit our Wholesale Application and have it approved in writing by us before any wholesale order is accepted.
We reserve the right to approve or decline any wholesale application at our sole discretion, and to discontinue any account at any time.
2. Account Approval
Approval is based on a review of your application, including (but not limited to) your business profile, primary sales channels, brand fit, geographic location, and existing presence in the mahjong category. Submission of an application does not guarantee approval.
Approved accounts will receive a wholesale account confirmation by email along with access to current wholesale pricing and ordering instructions.
3. Pricing and Minimum Order Requirements
Wholesale pricing is offered exclusively to approved Retailers and is confidential. Wholesale prices, available SKUs, and any program tiers are communicated through your wholesale account confirmation and are subject to change with reasonable notice.
Minimums
- Minimum opening order: Your first order must meet the minimum specified in your wholesale account confirmation.
- Minimum reorder: Subsequent orders must meet the reorder minimum communicated to you.
Minimums help us provide consistent pricing and reasonable lead times. Where minimums change, we will provide approved Retailers with advance notice.
4. Orders and Acceptance
Wholesale orders may be placed by email at wholesale@sagemahjong.com or through any wholesale ordering portal we make available to you. Orders are not binding until we have confirmed acceptance in writing (email is sufficient) and provided an order confirmation.
We reserve the right to limit, modify, or decline any order — including based on inventory, geographic restrictions, brand fit, or any concern about compliance with these Wholesale Terms.
5. Payment
Unless otherwise agreed in writing, all wholesale orders are payable in full prior to shipment. Accepted payment methods will be communicated at the time of order confirmation and may include credit card, ACH, or wire transfer in U.S. Dollars (USD).
Net payment terms (for example, Net 15 or Net 30) may be extended to selected Retailers at our discretion after a track record of timely payment has been established. Net terms, where granted, are documented in writing and may be revoked at any time.
Past-due invoices may be subject to reasonable late-payment fees and to suspension of further orders until balances are settled.
6. Shipping and Delivery
Wholesale orders ship from within the United States. Standard processing time is 3–10 business days after order confirmation and full payment, subject to inventory and order size. Estimated transit times are calculated at the time of order confirmation.
Unless otherwise agreed, shipping is charged separately and added to your invoice. Carrier and method are selected by us based on order size and destination, and may include USPS, UPS, FedEx, or freight where appropriate.
Title and risk of loss pass to the Retailer upon delivery to the carrier (FOB origin), unless otherwise agreed in writing. We recommend that Retailers carry appropriate cargo insurance for higher-value shipments.
7. Inspection and Claims
Retailer must inspect each shipment promptly upon receipt and report any shortage, damage, defect, or shipping error to us by email at wholesale@sagemahjong.com within 7 business days of delivery, including:
- your wholesale account name and order number;
- a description of the issue and the SKUs affected;
- photographs of the products and packaging where applicable.
Claims received outside this 7-business-day window may not be eligible for adjustment except where the underlying defect could not have been reasonably discovered on initial inspection.
8. Returns and Replacements
Wholesale orders are final sale and are not eligible for return for buyer’s remorse, change of mind, or unsold inventory. Replacements or refunds are issued only in the following situations:
- products that arrived damaged or defective and were reported within the inspection window above;
- incorrect items shipped or quantities shorted in fulfillment;
- any other circumstance specifically agreed in writing by us.
Where a return or replacement is approved, we will provide instructions and, where appropriate, a return label.
9. Resale Pricing and Minimum Advertised Price (MAP)
Retailers are free to set their own actual selling prices, subject to applicable law and to the Minimum Advertised Price (“MAP”) policy below.
MAP Policy
Sage Mahjong maintains a Minimum Advertised Price (MAP) policy for all wholesale Goods. The MAP for each SKU is the price at which that SKU is currently listed on sagemahjong.com. All advertised prices for Sage Mahjong products — whether on a Retailer’s website, social channels, paid ads, email marketing, printed materials, or third-party advertising — must be at or above MAP.
The following are permitted under our MAP policy:
- Omitting the price entirely from advertisements (for example, “Call for price,” “Inquire,” or “Add to cart to see price”);
- Offering free shipping or free handling;
- Absorbing the cost of sales tax;
- Adding value to the order through complimentary items or services not directly tied to a price reduction.
The following are not permitted:
- Advertising or displaying any Sage Mahjong product at a price below MAP, in any channel;
- Promoting Sage Mahjong products through coupon codes, promotional discounts, or banner messaging that brings the advertised or displayed price below MAP;
- Displaying a “compare-at,” “list,” or strikethrough price below MAP.
Requests for promotional pricing tied to a specific event or seasonal campaign may be submitted in advance to wholesale@sagemahjong.com. We may approve such requests at our discretion.
Repeated or willful failure to comply with MAP may result in suspension or permanent termination of the Retailer’s wholesale account, at our sole discretion.
Channel Restrictions
To protect the integrity of the brand and the experience our customers have with Sage Mahjong products, the following channel restrictions apply unless we provide express written consent:
- No third-party online marketplaces: Retailers may not list, advertise, or sell Sage Mahjong products on Amazon, eBay, Walmart Marketplace, AliExpress, Temu, TikTok Shop, or comparable third-party marketplaces or auction services.
- No liquidation platforms: Retailers may not sell Sage Mahjong products through liquidation sites, deal-of-the-day services, or unbranded resellers.
- No bulk re-export: Retailers may not bulk-resell Sage Mahjong inventory to other resellers, distributors, or wholesalers.
- No misuse of our marks: Retailers may not bid on the Sage Mahjong brand name (or close variations) as paid keywords on search engines or marketplace ad platforms without our written consent.
Sale through a Retailer’s own physical store or branded e-commerce site is welcome and encouraged. Where a Retailer wishes to sell on an additional channel, please email us first. This Section 9 shall survive termination of the Agreement.
10. Use of Brand Assets
We grant approved Retailers a limited, non-exclusive, non-transferable, revocable license to use Sage Mahjong product images, descriptions, and the Sage Mahjong word mark for the sole purpose of marketing and selling products purchased through the Wholesale Program, subject to the following:
- Retailer must not modify the Sage Mahjong logo, alter product imagery in a misleading way, or combine our marks with third-party marks in a way that suggests sponsorship, partnership, or endorsement that does not exist;
- Retailer must not use the Sage Mahjong name or marks in domain names, business names, social-media handles, or paid keywords without our prior written consent;
- this license terminates automatically upon termination of the Retailer’s wholesale account.
All right, title, and interest in and to the Sage Mahjong name, marks, designs, photography, and other brand assets remain with Kovex LLC.
11. Compliance with Law
Retailer is responsible for compliance with all laws applicable to its retail operations, including business licensing, product safety, advertising, sales tax collection and remittance, import duties (where applicable), and consumer protection rules in any jurisdiction in which it sells.
Retailer represents and warrants that it will not market, label, or sell Sage Mahjong products in a way that:
- misrepresents the origin, composition, or features of the products;
- uses Sage Mahjong products in connection with any gambling, real-money gaming, or game-of-chance product or service;
- violates any applicable law, regulation, or third-party right.
12. Confidentiality
Wholesale pricing, order minimums, payment terms, lead times, and any non-public business information shared with you under the Wholesale Program are confidential. Retailer agrees not to disclose this information to any third party (other than its own employees and advisors with a need to know, who are bound by equivalent confidentiality obligations) without our prior written consent.
13. Term and Termination
These Wholesale Terms remain in effect for as long as Retailer maintains an approved wholesale account. Either party may terminate the relationship at any time, for any reason, with written notice (email is sufficient).
We may suspend or terminate a wholesale account immediately, without notice, where:
- Retailer breaches any provision of these Wholesale Terms or our general Terms of Service;
- Retailer becomes insolvent, files for bankruptcy, or assigns its assets for the benefit of creditors;
- Retailer’s continued business activity, in our reasonable judgment, is incompatible with the Sage Mahjong brand.
Upon termination, all outstanding invoices become immediately due, the brand-asset license in Section 10 ends, and Retailer must cease using Sage Mahjong marks in any new marketing materials (existing inventory may be sold through the regular channels under Section 9).
14. Force Majeure
Neither party shall be liable to the other, nor be deemed to have defaulted under or breached these Wholesale Terms, for any failure or delay in performance to the extent such failure or delay is caused by acts or circumstances beyond that party’s reasonable control, including without limitation: acts of God; fire, flood, hurricane, earthquake, severe storm, or other natural disaster; epidemic or pandemic; act of war, hostilities, terrorism, sabotage, or civil unrest; government action or order; labor disputes; interruption or failure of utilities, telecommunications, or carrier services; cyberattack; or failure of suppliers, subcontractors, or carriers to substantially meet their performance obligations.
The affected party will provide reasonable notice of the event and will use reasonable efforts to resume performance as soon as practicable.
15. Limitation of Liability
To the fullest extent permitted by law, our aggregate liability under these Wholesale Terms for any claim arising out of or relating to a Sage Mahjong product or order shall not exceed the amount paid by Retailer for the specific order giving rise to the claim. In no event shall Kovex LLC be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation lost profits, lost revenue, or loss of goodwill.
16. Indemnification
Retailer agrees to indemnify, defend, and hold harmless Kovex LLC and its members, officers, employees, and agents from any third-party claim arising out of (a) Retailer’s marketing, sale, or distribution of Sage Mahjong products in a manner inconsistent with these Wholesale Terms, (b) Retailer’s violation of any law or third-party right, or (c) Retailer’s negligent or wrongful acts or omissions in connection with the Wholesale Program.
17. Governing Law and Dispute Resolution
These Wholesale Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Wholesale Terms shall be resolved in the state or federal courts located in Wyoming, and Retailer consents to the personal jurisdiction of those courts.
18. Changes to These Wholesale Terms
We may update these Wholesale Terms from time to time. Updates take effect when posted at sagemahjong.com (or otherwise communicated to active Retailers). Continued participation in the Wholesale Program after an update constitutes acceptance of the updated terms.
19. Entire Agreement
These Wholesale Terms, together with our Terms of Service and any written wholesale account confirmation issued to a specific Retailer, constitute the entire agreement between the parties regarding the Wholesale Program and supersede any prior or contemporaneous agreements, communications, or proposals on the subject.
